DEMO SUBMISSION AGREEMENT

This Demo Submission Agreement ("Agreement") governs the submission of musical works, recordings, demos, or other creative materials ("Submissions") to Vergara Records through www.vergararecords.com (the "Website").
By submitting any material to Vergara Records, you ("Submitter", "Artist", or "Producer") acknowledge that you have read, understood, and agreed to the terms set forth in this Agreement.
If you do not agree with these terms, you must not submit any material to Vergara Records.

1. PURPOSE OF SUBMISSION

Vergara Records accepts demo submissions from artists and producers for the purpose of reviewing potential music releases, collaborations, or partnerships.
Submission of material does not guarantee:

that the material will be reviewed
-
that feedback will be provided
-
that the material will be signed, licensed, or released
-
that any agreement will be offered
Vergara Records is under no obligation to review or respond to any submission.

2. ORIGINALITY AND OWNERSHIP
​
By submitting any material, the Submitter represents and warrants that:

they are the sole creator and owner of the submitted material, or
-
they have obtained all necessary permissions and rights from any collaborators or rights holders
The Submitter further confirms that the submission does not infringe upon the rights of any third party, including copyrights, trademarks, or contractual rights.
The Submitter agrees to indemnify and hold harmless Vergara Records against any claims arising from the submitted material.

3. UNSOLICITED MATERIAL
​
Vergara Records may receive numerous demo submissions and may already be developing or working with music that is similar in style, concept, sound, or idea.
By submitting material, the Submitter acknowledges and agrees that:

similar music may already exist within the label or its affiliates
-
similar works may be independently created by Vergara Records or other artists
-
no claim may be made against Vergara Records for similarities between the submitted material and other works

4. NO CONFIDENTIAL RELATIONSHIP
​
Submission of material does not create any confidential, fiduciary, or contractual relationship between the Submitter and Vergara Records.
Vergara Records shall have no obligation to treat submitted material as confidential.

5. NO OBLIGATION TO USE OR COMPENSATE
​
Submission of material does not obligate Vergara Records to:

use the material
-
enter into any agreement
-
provide compensation
-
return the submitted material
Any use of submitted material will be subject to a separate written agreement between the parties.

6. LICENSE FOR REVIEW PURPOSES
​
By submitting material, the Submitter grants Vergara Records a non-exclusive, royalty-free license to listen to, review, and internally evaluate the submission for potential collaboration or release.
This license does not grant Vergara Records any ownership rights in the material.
​
7. LIMITATION OF LIABILITY
​
Vergara Records shall not be liable for:
-
loss of submitted files
-
unauthorized access to submitted material
-
similarities between submissions and existing works
-
decisions not to review or respond to submissions
All submissions are made at the sole risk of the Submitter.
​
8. INDEMNIFICATION
​
The Submitter agrees to indemnify, defend, and hold harmless Vergara Records and its affiliates, partners, artists, and representatives from any claims, damages, or legal costs arising from:
-
ownership disputes
-
copyright infringement claims
-
violation of third-party rights related to the submission
-

9. ACCEPTANCE OF TERMS
​
By submitting any demo, music, or creative content through the Website or any associated channels, the Submitter confirms that they have read and agreed to this Demo Submission Agreement.

10. GOVERNING LAW
​
This Agreement shall be governed and interpreted in accordance with applicable international laws relating to intellectual property, copyright, and digital commerce.
Any disputes arising from this Agreement shall be resolved through the appropriate legal authorities.
